AI Deal OS / Data room checklist

Data room checklist for a small acquisition: what a complete room contains and how to spot what is missing.

A data room for a small acquisition is complete when every figure the seller presents can be traced to a document, for every period your lender will test. The way to find what is missing is to compare three things: the seller's index, the references inside the documents, and the periods and supports your underwriting needs. Deal OS does that comparison and returns the gaps as a list of documents to ask for.

What a complete data room holds

There is no universal list; a data room is shaped by the business and the deal. This table is a working checklist for a small acquisition. Use it as a prompt for what to ask, and drop the rows that do not apply to the business in front of you.

AreaDocuments to expectWhat to check
FinancialsFinancial statements for each year-end the lender will test, the current interim statement and the same period a year earlier, the seller's add-back schedule.Do the periods match what underwriting needs? Does every add-back have a supporting document?
TaxFederal tax returns for the same years as the statements.Does revenue on the return agree with the statements and the CIM?
Customers and revenueRevenue by customer over several years, the top customer contracts.Does the customer table agree with what the CIM says about concentration?
ContractsCustomer, supplier and lease agreements, including any clause on assignment or change of control. Can the contracts that carry the revenue move to a new owner?
Legal and licensesLitigation history, permits, licenses, and who holds each one.Does the business depend on a license held by the owner personally?
PeopleOrganization chart, key employees, turnover, owner's role.Who does the work the owner does today?
Systems and dataMain operating systems, what data they hold, whether it can be exported.Has the export actually been tested?

Four ways to find what is missing before you underwrite

None of these finds a page that was removed without any reference to it. That limit is covered in can AI flag missing pages in a data room.

  • Compare the index to the files. If the seller or broker gave an index or a list of exhibits, every line should map to a file, and every file to a line.
  • Follow the references. A CIM that says "see Schedule 4" or "per the attached agreement" has just told you a document should exist. List every such reference and look for the document.
  • Check the periods. Under SBA SOP 50 10 8.1, coverage is tested on the last fiscal year-end or an average of the last two, not on a trailing-twelve-month figure (as quoted on the quality of earnings software page). A data room with only trailing-twelve-month figures is incomplete for that purpose, whatever else it holds.
  • Trace each headline number. For revenue, EBITDA and each add-back, ask which document proves it. A figure that rests on the seller's say-so alone is a gap.

How Deal OS flags what is missing

Deal OS reads the CIM, financial statements, tax return and any other documents you give it, and marks findings where the documents leave something open. In the sample brief (a synthetic deal) these show up as findings labelled missing info, and as an "ask the seller for" list under the SBA coverage check.

The brief does not guess at what it cannot see. When the data room lacks what a test needs, the test says so instead of producing a number. The worked example below quotes it.

What it still leaves to you

  • Deciding which gaps matter for this deal and this lender.
  • Asking the seller, and judging the answer.
  • Confirming the complete list with your accountant, lawyer and lender, who know what they need to sign off.

Worked example from the sample brief

Gaps as the sample brief reports them (Sentinel Fire & Safety, a synthetic deal), quoted from it:

  1. The test says it cannot run. The SBA 7(a) coverage check is labelled "Not enough to test": "Every EBITDA figure in this data room is trailing-twelve-month." It shows the trailing figure for comparison only and says it cannot carry the loan.
  2. An ask-the-seller list. Under "Ask the seller for": fiscal-year income statements for the last two year-ends, accountant-prepared, with EBITDA and the add-backs per year; the 2024 federal tax return, to sit beside the 2025 return already provided; the current interim statement and the same period last year.
  3. Gaps found inside the documents. Findings labelled missing info include: contract assignability is unreviewed ("The seller has not undertaken a review of change-of-control or assignment provisions across the contract base", CIM page 19) and the core operating data may not be exportable (CIM page 16).

The example is Sentinel Fire & Safety, Inc., a synthetic company built to show the product. Nothing in it describes a real business, and the same output shape applies to a real data room. See the whole thing at /sample-brief.

Questions

Frequently asked questions.

What should a data room for a small business acquisition include?

Financial statements and tax returns for the periods your lender will test, an add-back schedule with support, revenue by customer, the main contracts, licenses and litigation history, key people, and a description of operating systems and data. The table on this page is a starting checklist, not a universal list.

How do I know a document is missing if nobody says so?

Compare the seller's index with the files, list every document the text refers to, check that the periods cover what underwriting needs, and trace each headline figure to a supporting document. A page removed without any reference to it cannot be found by reading alone.

Who is responsible for a complete data room?

The seller or their broker assembles it. The buyer decides what is missing for their purposes and asks for it; a lender or accountant may add their own requests.

Can software check a data room for completeness?

It can compare documents against each other and against the references inside them, and list what the documents leave open. It cannot confirm that nothing else exists.
