Can AI flag missing pages in a data room?

Yes for some kinds of gaps and no for others. AI can flag a document the text refers to but the data room does not contain, a period the underwriting needs but the documents do not cover, and a figure with no supporting document. It cannot flag a page that was removed without leaving any trace in the documents.

Four kinds of missing, and which ones software can see

Kind of gapExampleCan reading the documents find it?
Referenced but absentThe CIM cites an exhibit, schedule or agreement that is not in the room.Yes. The reference is in the text.
Period gapOnly trailing-twelve-month figures where the lender tests year-ends.Yes, if the tool knows which periods the test needs.
Unsupported figureAn add-back or revenue number that no document proves.Yes. It shows as a figure with no source.
Removed without traceA page or file taken out and never mentioned. No, not by content alone. Check the seller's index and page numbering yourself, and ask.

Test a tool on your own deal

The test costs nothing and does not depend on any vendor claim. Take a deal you know well, or use a data room where you can remove a document yourself.

  • Remove a document you know matters, such as the prior-year tax return, and run the tool. Does the output say something is missing, or does it carry on as if the set were complete?
  • Pick two references in the CIM to documents you did not upload. Does the tool list them?
  • Ask what it does when a test cannot run. A tool that prints a number anyway is guessing.

What the output should look like

A useful gap list names the document, says why it is needed and points to the passage that created the need. In the sample brief the SBA coverage check reports "Not enough to test" and lists the documents to request, instead of computing coverage on a figure that cannot carry the loan.

The full checklist of what a room should hold is on the data room checklist page. To see a brief like this on a synthetic deal without an account, open the sandbox.

Worked example from the sample brief

How the sample brief (a synthetic deal) reports a gap, quoted from it:

  1. A test that declines to run. "Not enough to test. No fiscal-year EBITDA in the data room." The brief explains that every EBITDA figure in the room is trailing-twelve-month, and that on that basis the deal "would show 2.28x against the 1.25x floor, but that number cannot carry the loan."
  2. The request list that follows. Fiscal-year income statements for the last two year-ends; the 2024 federal tax return; the current interim statement and the same period last year.

The example is Sentinel Fire & Safety, Inc., a synthetic company built to show the product. Nothing in it describes a real business, and the same output shape applies to a real data room. See the whole thing at /sample-brief.
